Welcome to Noesis Ark! These Terms & Conditions (“Terms”) govern your use of the website, digital courses, and related services provided by Fokea Consulting Ltd (“we”, “us”, “our”). By accessing or using our website and/or enrolling in our courses, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.
1. Eligibility
By registering for our services, you represent that you have the legal capacity to enter into these Terms and that you are at least 18 years old (or, if enrolling a minor, you are the parent or legal guardian of that minor). If you are enrolling on behalf of a child, you represent that you have consented to these Terms and will supervise their participation in the course.
2. Services
We provide online educational courses, training materials, video content, webinars and related digital products (“Services”). We reserve the right to modify, suspend or discontinue all or part of the Services at any time without notice.
3. Registration & Access
You may need to create an account to access certain Services. You are responsible for providing accurate, complete, and up‑to‑date information during registration. You are responsible for safeguarding your account credentials and any activity under your account. You must notify us immediately of any unauthorized use of your account.
4. Payment, Refunds & Subscription
- Payment for our Services must be made in full in accordance with the pricing and payment terms displayed at time of purchase.
- All fees are non‑refundable except as otherwise specified in a separate refund policy.
- We reserve the right to change our fees at any time; changes will not affect fees already paid for enrolled courses, unless explicitly stated.
- If you subscribe to a recurring service, you acknowledge and agree that unless you cancel prior to the next billing date, your subscription will auto-renew under the then-current fees and terms.
5. Intellectual Property
All content and materials provided as part of the Services (including text, graphics, videos, audio, designs, logos, trademarks, course files, downloads) are the property of Fokea Consulting Ltd or its licensors and are protected by copyright and other intellectual property laws. You may access and use the Services for your personal, non‑commercial use only. You may not reproduce, distribute, publicly display, transmit, adapt or create derivative works of the content without our prior written consent.
6. User Conduct
You agree not to:
- Use the Services for any unlawful or harmful purpose.
- Violate any applicable laws or regulations.
- Infringe the rights of others, including privacy or intellectual property rights.
- Transmit viruses, malware or any harmful code.
- Interfere with or disrupt the Services or servers or networks connected to the Services.
- Sell, resell, rent or license access to the Services or make the Services available to unauthorized users.
7. Certificate Issuance
Upon completion of specified courses, we may issue a personalised certificate bearing the student’s name (for minors, the name provided by the enrolling parent or guardian). By accepting these Terms you agree that we may use the name provided to generate and distribute the certificate. We do not guarantee that any certificate will be accepted by any external party or institution.
8. Disclaimers & Limitation of Liability
- Course content is for educational purposes only and is not professional advice. Issuer does not guarantee outcomes. Any examples or testimonials are illustrative and not promises. You are solely responsible for your actions and results.
- The Services are provided on an “as is” and “as available” basis. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for purpose, accuracy or reliability of content.
- We are not responsible for any results from your use of the Services; you assume all risk of using them.
- To the maximum extent permitted by applicable law, Fokea Consulting Ltd, its directors, officers, employees, affiliates, licensors or service providers will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or goodwill, arising out of or related to your use of or inability to use the Services.
- Total liability is capped at the amount you paid for the Course.
9. Termination
We may suspend or terminate your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever including if you breach these Terms. Upon termination, your right to use the Services immediately ceases. Termination will not limit any of our rights or remedies at law or in equity.
10. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of Hong Kong. You agree to submit to the exclusive jurisdiction of the courts of Hong Kong for any disputes arising under these Terms.
11. Changes to These Terms
We may revise these Terms from time to time. When we do, we will post the revised version with a new “Last updated” date. By continuing to access or use our Services after changes are posted, you accept the updated Terms.
